1. General Provisions

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and Medicore LLC ("Medicore", "we", "us", "our"), governing your access to and use of the Medicore website located at medicore.azand any related mobile applications, APIs, or services (collectively, the "Platform").

By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease using the Platform.

Medicore reserves the right to amend these Terms at any time. Continued use of the Platform after any modification constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically. These Terms are governed by the laws of the Republic of Azerbaijan.

The Platform is intended for users who are at least 18 years of age or, in jurisdictions where the age of majority is higher, of that age. By using the Platform you represent and warrant that you meet the applicable age requirements. If you are accessing the Platform on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.

2. User Registration and Account

Certain features of the Platform require you to register for an account. When registering, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form, and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify Medicore immediately of any unauthorized use of your account or any other breach of security. Medicore will not be liable for any loss or damage arising from your failure to comply with this obligation.

You may not transfer, sell, or assign your account to any third party without the prior written consent of Medicore. Medicore reserves the right to terminate or suspend accounts at its sole discretion, including but not limited to cases where a user violates these Terms, provides false information, or engages in fraudulent or harmful conduct.

Healthcare providers who register as partners on the Platform (clinics, doctors, pharmacies, and laboratories) are subject to additional verification requirements. Medicore reserves the right to verify the credentials and licenses of all healthcare partners and to remove or suspend any partner found to be misrepresenting their qualifications or services.

3. Use of the Platform

The Platform provides a medical directory service that allows users to search for, discover, and connect with healthcare providers operating in Azerbaijan. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

You agree not to use the Platform in any manner that:

• Violates any applicable local, national, or international law or regulation.
• Is fraudulent, misleading, or otherwise harmful to Medicore or third parties.
• Infringes upon or misappropriates the intellectual property rights of any party.
• Transmits unsolicited commercial communications (spam).
• Attempts to gain unauthorized access to any part of the Platform or its related systems.
• Introduces viruses, trojans, worms, or any other malicious or technologically harmful material.
• Scrapes, harvests, or collects data from the Platform without our express written consent.
• Submits false, defamatory, or misleading reviews or ratings about healthcare providers.

Medicore reserves the right to monitor user activity and, at its sole discretion, to remove any content, suspend any account, or take any other appropriate action in response to violations of these Terms or applicable law.

4. Medical Disclaimer

Nothing on the Platform should be construed as medical advice or a substitute for professional medical judgment, diagnosis, or treatment. Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition, and never disregard professional medical advice or delay in seeking it because of something you have read on this Platform.

The listings, ratings, and reviews on the Platform are provided for informational purposes only. Medicore does not endorse, recommend, or make any representations about the quality, safety, or suitability of any specific healthcare provider. The inclusion of a healthcare provider in our directory does not constitute an endorsement or guarantee of their services.

In case of a medical emergency, please contact emergency services (112 in Azerbaijan) immediately. Do not rely on the Platform for emergency medical information or assistance.

5. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Medicore or its content suppliers and is protected by the intellectual property laws of the Republic of Azerbaijan and international copyright laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. This license does not include any right to resell or commercially use the Platform or its contents; to collect and use any product listings, descriptions, or prices; to make derivative uses of the Platform; or to download or copy account information for the benefit of another merchant.

Healthcare providers who submit content to the Platform (such as clinic descriptions, doctor profiles, service information, logos, and photographs) grant Medicore a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute such content in connection with the operation of the Platform. By submitting it you confirm that you own the content or are otherwise permitted to license it to us.

The same applies to content you submit as a user — reviews, ratings, photographs and other material. You keep ownership of it and grant Medicore the same worldwide, non-exclusive, royalty-free license to display and distribute it as part of the Platform, including in our mobile applications. Private messages are excluded: they are delivered to their recipient and are not published.

"Medicore" and associated logos are trademarks of Medicore LLC. You may not use our trademarks without our prior written permission.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Medicore and its officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Platform.
• Any conduct or content of any third party on the Platform, including healthcare providers.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.
• Medical decisions made based on information found on the Platform.

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. Medicore does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

In jurisdictions where limitations of liability are not permitted, Medicore's liability is limited to the maximum extent permitted by law. Medicore's total aggregate liability to you for any claims arising from or relating to these Terms or your use of the Platform shall not exceed fifty (50) AZN.

7. Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan.

Any dispute arising from or relating to these Terms or your use of the Platform shall first be attempted to be resolved through informal negotiation. You agree to contact Medicore at info@medicore.az to attempt to resolve any dispute informally before initiating formal proceedings. Medicore will use reasonable efforts to address your concerns within thirty (30) calendar days.

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the competent courts of the Republic of Azerbaijan, specifically the courts of Baku. You hereby consent to the exclusive jurisdiction of these courts and waive any objection to proceedings in such courts on the grounds of venue or the convenience of the forum.

8. Changes to Terms

Medicore reserves the right to modify these Terms at any time, at its sole discretion. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide notice through the Platform or by sending an email to the address associated with your account (if applicable).

Your continued use of the Platform after any changes to the Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform and, if applicable, delete your account. It is your responsibility to review these Terms periodically.
